12. Governing Law and Jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the personal jurisdiction and venue of those courts.

13. Termination

We may terminate or suspend your access to the Site at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
